ROBO.ai Inc. has returned to positive shareholders’ equity after a restructuring, and two acquisitions helped clear much of the company’s legacy liabilities.

The UAE-based Nasdaq-listed company reported shareholders’ equity of US$95.8 million as at June 30, compared with a deficit of US$116.1 million at the end of 2025.

It also posted net income attributable to shareholders of US$46.7 million for the six months ended June 30, reversing a US$2.2 million net loss in the same period last year.

Robo.ai said the profit was mainly driven by income from discontinued operations.

Revenue rose sharply to US$55.1 million from just US$600,000 a year earlier, with US$54.4 million coming from QC Capital following its acquisition on June 15.

QC Capital’s contribution covered the period from the acquisition date to June 30.

Gross profit stood at US$200,000, compared with a gross loss of US$400,000 in the first half of 2025.

Basic and diluted earnings per ordinary share were US$0.81, compared with a loss of US$0.15 per share a year earlier.

The company also brought down its convertible note liabilities to US$3 million from US$11.1 million at the end of December.

It said US$13.6 million in convertible notes were settled during the period through the issuance of ordinary shares instead of cash.

Despite the improvement in its balance sheet, Robo.ai ended June with US$2.1 million in cash and cash equivalents, down from US$4 million at the end of last year.

Net cash used in operating activities was US$2.6 million, while financing activities generated a net cash inflow of US$4.8 million.

The financial turnaround followed the disposal of the company’s legacy ICONIQ business and the acquisition of two new businesses.

In May, Robo.ai acquired Neurovia AI Limited, which develops AI-powered data processing and compression technology for applications including public security, transportation, finance and smart agriculture.

The following month, it acquired QC Capital, an operating business with an established workforce, processes and technology.

Chief executive officer Benjamin Zhai said the company had also reorganised its operations in the UAE and reshaped its business around the acquired assets.

“The first half of 2026 put Robo.ai on a new footing,” he said.

Zhai said the immediate focus was on integrating the newly acquired businesses and developing their commercial potential.

The company said the changes marked the beginning of its next phase of development. - August 28, 2026
